Terms of Service

Welcome to TableSnap. These Terms of Service ('Terms') govern your use of our platform and services. By accessing or using TableSnap, you agree to be bound by these Terms. If you do not agree, do not use our service.

1. Acceptance of Terms

By creating an account or using TableSnap in any way, you accept these Terms in their entirety. If you are using TableSnap on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Account Registration and Eligibility

To use TableSnap, you must be at least 18 years old and capable of entering into legally binding contracts. You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate and complete information during registration and to keep this information current. You are liable for all activities that occur under your account.

3. Acceptable Use

You agree not to: (a) upload, post, or transmit any content that is illegal, defamatory, or infringing on intellectual property rights; (b) impersonate any person or entity; (c) use automated tools (bots, scrapers) to access or extract data from TableSnap without permission; (d) reverse engineer, decompile, or attempt to discover the source code or underlying structure of TableSnap; (e) interfere with or disrupt the integrity or performance of the service; (f) use TableSnap for commercial purposes outside the scope of your restaurant operation without explicit written permission.

4. User Content and Ownership

You retain all ownership rights to content you upload, including menu items, descriptions, images, and restaurant information ('User Content'). By uploading User Content, you grant TableSnap a non-exclusive, worldwide, royalty-free license to store, display, process, and reproduce your content for the purpose of operating and improving the service. You represent and warrant that you own or have obtained all necessary rights to the User Content you upload, including menu images and product photographs. You alone are responsible for the accuracy, completeness, and legality of all User Content.

5. Menu Accuracy and Restaurant Responsibility

Restaurant owners are solely responsible for the accuracy and currency of menu information, including item descriptions, prices, allergens, and dietary information displayed on TableSnap. TableSnap displays content exactly as entered by the restaurant owner and does not independently verify menu data. If a customer relies on inaccurate menu information, the restaurant owner bears all liability. TableSnap strongly recommends that restaurants regularly review and update their menu data to prevent confusion or safety issues.

6. Service Availability

TableSnap is provided on an 'as-is' basis. We aim to maintain reliable service but do not guarantee uninterrupted availability. We may perform planned maintenance with or without notice. Trial accounts and current paid plans have no uptime service level agreement (SLA). Future enterprise tiers, when available, will specify applicable SLAs in their terms. We are not liable for service interruptions, data loss, or any damages arising from unavailability.

7. Pricing, Billing, and Refunds

Paid plans are sold and billed through Polar Software Inc. ('Polar'), which acts as the Merchant of Record for TableSnap subscriptions. Polar collects payment, applies any required taxes, and issues invoices on our behalf. Charges on your card or bank statement will appear from Polar, not TableSnap. By purchasing a TableSnap subscription you also accept Polar's Buyer Terms of Service and Privacy Policy at polar.sh, which govern the payment relationship between you and Polar. Pricing for each plan is shown on the TableSnap pricing page and at checkout, in the currency Polar serves for your region. Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time from your TableSnap billing page; cancellation stops future renewals and your plan remains active through the end of the period you have already paid for. Refund policy: if you cancel within 14 days of your first paid subscription charge for any reason, contact us at support@tablesnap.io with your account email and we will issue a full refund through Polar within 10 business days. After the 14-day window, paid periods are non-refundable; you keep access until the end of the period and renewals stop. Partial-month refunds, refunds on renewals, and refunds on plan downgrades are not provided. Where local consumer-protection law gives you a stronger refund right than this section, that law applies.

8. Termination

You may delete your account and terminate your use of TableSnap at any time by requesting account deletion in your settings. Upon deletion, your account and associated data will be removed. TableSnap may suspend or terminate your account immediately without notice if you violate these Terms, engage in abusive behavior, or pose a security risk to the platform or other users.

9. Limitation of Liability and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TABLESNAP AND ITS OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TABLESNAP'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO TABLESNAP IN THE 12 MONTHS PRECEDING THE CLAIM (OR ONE US DOLLAR IF YOU HAVE NOT PAID ANYTHING). THE SERVICE IS PROVIDED 'AS IS' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TABLESNAP DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Indemnification

You agree to indemnify, defend, and hold harmless TableSnap and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the service; (b) User Content you upload; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your infringement of any third-party intellectual property or other rights.

11. Data Storage and Security

TableSnap stores data on cloud infrastructure provided by Amazon Web Services (AWS). Media files (menu photos, logos) are stored via Cloudflare R2. You acknowledge that cloud storage carries inherent risks including data loss, unauthorized access, and service disruptions. TableSnap implements industry-standard security measures but cannot guarantee absolute security. You are responsible for maintaining backups of critical business data.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the country or region in which you are habitually resident, where local consumer-protection law requires that result. Where no such local requirement applies, these Terms are governed by the laws of the Republic of the Philippines, the country in which TableSnap's operating entity is established, without regard to its conflict-of-law principles. Disputes that cannot be resolved through the informal process in Section 14 will be brought in the courts of your country of residence (where local law requires) or otherwise in the competent courts of the Republic of the Philippines. The payment relationship between you and Polar (as Merchant of Record under Section 7) is separately governed by Polar's own Terms of Service and the law specified there. Nothing in this Section limits any non-waivable consumer right you have under the law of your country of residence.

13. Modifications to Terms

TableSnap may modify these Terms at any time. Material changes will be communicated to you via email at the address associated with your account at least 30 days before taking effect. Continued use of the service following notification constitutes acceptance of the modified Terms. If you do not agree to changes, you must delete your account prior to the effective date.

14. Dispute Resolution

Before initiating any legal proceedings, you agree to attempt to resolve disputes informally by contacting TableSnap at support@tablesnap.io. If informal resolution fails, any dispute shall be governed by the laws and jurisdiction specified in Section 12.

15. Entire Agreement

These Terms, together with TableSnap's Privacy Policy and any other policies or terms referenced herein, constitute the entire agreement between you and TableSnap regarding your use of the service and supersede all prior agreements, whether written or oral.
